Welcome to our site!

1. Purpose and Scope

 

This Policy governs the purchase, download, licensing and use of all digital products (collectively Templates) and the making, cancellation and rescheduling of bookings for live webinars, workshops, Q&A sessions or legal consultations (Bookings) made available by ND Legal Pty Ltd (we, our, us) through our website, online portal or any other digital distribution channel (together Platform).

 

Our Website Terms (www.ndlegal.com.au/website-terms) and Privacy Policy (www.ndlegal.com.au/privacy-policy) are incorporated into this policy as if set out in it. The terms of this Policy prevails to the extent of any inconsistency with the Website Terms and/or Privacy Policy. Please read our Website Terms and Privacy Policy as they are binding on you and us.

2. Definitions

 

a) Booking – a reservation made and paid for through the Platform for a live or pre-recorded webinar, workshop, Q&A session or one-on-one legal consultation, which is a standalone service and not contingent upon the purchase of a Template.

b) Consumer Law – Schedule 2 to the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law, ACL) and any substantially similar State or Territory legislation.

c) Customer / you – the person or entity purchasing a Template or making a Booking.

d) GST – goods and services tax under A New Tax System (Goods and Services Tax) Act 1999 (Cth).

e) Template – any precedent, checklist, clause library, policy, form or other digital document (in Word, PDF or similar format) offered for sale on the Platform.

3. Ordering and Payment

 

3.1   Prices are listed in Australian dollars and are GST-inclusive unless otherwise stated.

3.2  Payment must be completed via the approved payment gateway before a download link or booking confirmation is issued.

3.3  A tax invoice compliant with GST legislation will be issued electronically to the email address provided at checkout on request.

4. Delivery of Templates

 

4.1   Upon successful payment, you will receive an automated email containing a secure link to download the Template.

4.2  The link will remain active for 30 days and 1 download attempt. After expiry you must contact us to request renewed access (which we may grant or refuse at our discretion).

 

4.3  Where you have purchased a template that is subject to the completion of a questionnaire:

a) you will receive a link to complete the questionnaire within 24 hours of your purchase.

b) you must complete the questionnaire within 30 days.

c) your template will be delivered to you via email in Word format within 24 hours of the questonnaire being complete/

4.3  We do not guarantee continuous availability of the Platform and may suspend access for maintenance or security reasons.

5. Bookings and Cancellations

 

5.1 Making a Booking

  • Bookings are confirmed only when full payment is received via the Platform and you receive a confirmation email stating the date, time and access details.

  • All times are stated in AWST unless otherwise specified.

5.2 Customer-initiated Cancellation or Reschedule

  • You may cancel or request to reschedule a Booking by emailing info@ndlegal.com.au. The Bookings are non-refundable.

  • If the written request is received:

    • More than 14 days before the scheduled start:     you may request one reschedule at no additional cost (subject to availability, within 60 days).

    • Less than 14 days before the scheduled start or in the event of a no-show:    the fee is forfeited and no reschedule is permitted, unless required by the ACL.

 

5.3 Firm-initiated Cancellation or Reschedule

  • We may cancel or reschedule a Booking due to facilitator unavailability, technical failure or insufficient registrations.

  • You will be offered (a) a full refund, or (b) the option to attend the rescheduled session or another equivalent session.

  • Any refund will be processed to the original payment method within 10 Business Days.

 

5.4 Consumer Law

Nothing in this section 5 limits your rights under the Australian Consumer Law. If a Booking fails to comply with a statutory guarantee, you are entitled to the remedies prescribed by the ACL, which may include a refund.

5.5 No Legal Advice; Recording

  • Bookings, other than Strategy Calls and Business Audit Calls, are educational in nature and do not constitute legal advice. Your reliance on any information shared during these sessions is at your own risk, and you release us from any liability, loss or claims arising out of or in connection with those sessions.

  • All live sessions are recorded. By participating, you consent to the recording and grant us an irrevocable licence to use the recording for internal training and, where the Booking is not a Strategy Call or Business Audit Call, future marketing, provided any personal information is handled in accordance with our Privacy Policy. You acknowledge you are not entitled to copies of these recordings or any derivative product.

6. Licence and Permitted Use for Templates​

 

6.1  We grant you a non-exclusive, non-transferable, perpetual licence to:

  • store the Template on your internal systems;

  • modify the Template for your own internal business purposes; and

  • use the Template to create end documents for your own matters.

 

6.2  You must not:

  • resell, sublicense, distribute or publicly post the unmodified Template;

  • represent the Template as your own original work;

  • remove proprietary notices or branding without our prior written consent.

 

6.3  All copyright, trade marks and other intellectual property rights in the Templates remain vested in us (or our licensors). No ownership rights are assigned.

7. Consumer Guarantees and Refunds

 

7.1  Under the ACL, our Templates come with guarantees that cannot be excluded, including that the Templates will be of acceptable quality and match the description provided.

 

7.2  If a Template fails to comply with any statutory guarantee, you are entitled to a remedy under the ACL, which may include repair, replacement or refund.

7.3  ​Subject to 7.1:

  • Change-of-mind refunds are not offered for digital downloads once access has been granted;

  • Requests for refunds must be made in writing to info@ndlegal.com.au within 30 days of purchase, describing the alleged failure;

  • We may require evidence or reasonable assistance to assess your claim.

7.4  Where a refund is issued, your licence to the Template terminates and you must delete all copies in your possession or control.

8. No Personal Legal Advice

Templates are generic precedents only. They are not tailored to your circumstances and do not constitute legal advice. You are responsible for ensuring that any customised version of a Template is accurate, complete and suitable for your intended use and complies with all applicable Australian laws and regulations.

 

9. Limitation of Liability

  • To the extent permitted by law, our aggregate liability for any loss or damage arising out of or in connection with a Template, Booking or this Policy (whether in contract, tort or otherwise) is limited to the price paid for the relevant Template or Booking.

  • We are not liable for indirect or consequential loss, loss of profit, loss of data or business interruption, except where such liability cannot lawfully be excluded under the ACL.

 

10. Privacy and Security

Personal information collected during the purchase or booking process is handled in accordance with our Privacy Policy (www.ndlegal.com.au/privacy-policy). Payment details are processed by third-party providers using industry-standard encryption.

 

11. Updates and Version Control

  • Minor updates or corrections to a Template purchased within the previous 12 months may be provided free of charge via email or account download.

  • Major revisions constituting a new edition may be offered at a discounted upgrade fee.

 

12. Amendments to this Policy

We may amend this Policy from time to time by posting the updated version on the Platform. The version in force on the date of your purchase or booking will apply to that transaction.

 

 

13. Governing Law and Jurisdiction

This Policy is governed by the laws of Western Australia, Australia. Each party submits to the exclusive jurisdiction of the courts of that State and the Commonwealth courts sitting in that State.
